Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of the LessonsLearned platform operated by LessonsLearned LTD (“we”, “us”, “our”) at www.lessonslearned.cloud. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. Definitions

  • “Platform” — the LessonsLearned web application and associated services.
  • “Account” — your registered user account on the platform.
  • “Company” — the organisation registered on the platform, managed by a Company Administrator.
  • “Content” — all lessons learned, projects, comments, tags, categories, and other data created by users.
  • “Subscription” — the paid plan that provides access to platform features.

3. Account Registration

To use the platform, you must register an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised use.

Company Administrators are responsible for managing team access, including inviting and removing users, and assigning roles (Admin, Manager, Operative).

4. Subscriptions & Billing

  • Access to the platform requires an active subscription. We offer monthly and annual plans as displayed on our pricing page.
  • Subscriptions are billed in advance on a recurring basis (monthly or annually). Payments are processed by Stripe.
  • Seat-based pricing applies — you pay per user seat on your plan. You can add or remove seats from the admin dashboard.
  • When adding seats mid-cycle, a prorated charge is applied for the remainder of the billing period.
  • Price changes will be communicated with at least 30 days’ notice.

5. Free Trial

We may offer a free trial period. At the end of the trial, you will need to subscribe to a paid plan to continue using the platform. We will not charge you without your explicit consent.

6. Cancellation & Refunds

  • You can cancel your subscription at any time from the admin dashboard or Stripe billing portal.
  • Upon cancellation, your subscription will remain active until the end of the current billing period.
  • We do not offer refunds for partial billing periods unless required by applicable law.
  • If your subscription lapses, your data will be retained for 90 days. After that, it may be permanently deleted.

7. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws
  • Upload content that is defamatory, abusive, obscene, or infringes on intellectual property rights
  • Attempt to gain unauthorised access to other users’ accounts or company data
  • Use automated tools, bots, or scripts to access the platform without our permission
  • Interfere with or disrupt the integrity or performance of the platform
  • Share your account credentials with others outside your organisation

8. Data Ownership & Content

Your content belongs to you. You retain all ownership rights to the lessons, projects, and other content you create on the platform. By using the platform, you grant us a limited licence to store, display, and transmit your content solely for the purpose of providing the service.

We do not claim ownership of your content and will not share, sell, or use your content for any purpose other than delivering the platform service.

9. Intellectual Property

The LessonsLearned platform, including its design, code, features, and branding, is owned by LessonsLearned LTD and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the platform without our written permission.

10. Service Availability

We aim to keep the platform available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages from time to time. We are not liable for any losses caused by downtime or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, LessonsLearned LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount you have paid us in the 12 months prior to the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless LessonsLearned LTD, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in behaviour that harms the platform or other users. Upon termination, your right to use the platform ceases immediately. We will make your data available for export for 30 days after termination.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
